Terms of Service

These Terms of Service govern your access to and use of the OptyxAI website and services. Please read them carefully before using our platform.
1. Acceptance of Terms
By accessing or using the OptyxAI website and services, you agree to be bound by these Terms of Service. If you do not agree to all of these terms, you may not access or use our services.
These terms apply to all visitors, users, and clients of OptyxAI. We may update these terms from time to time, and your continued use of our services constitutes acceptance of any changes.
2. Description of Services
OptyxAI provides AI-powered business automation services for local, appointment-based businesses. Our services include, but are not limited to:
- AI receptionist and call answering
- Automated appointment booking and confirmation
- Review generation and reputation management
- SMS and text marketing campaigns
- Online presence and SEO optimization
- Customer re-engagement and win-back automation
The specific services provided to you will be outlined in your selected service package. We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice.
3. Client Accounts and Obligations
To use our services, you must provide accurate and complete information about your business during onboarding. You are responsible for maintaining the accuracy of this information.
You agree to provide us with necessary access to your business systems (scheduling platforms, review platforms, etc.) as required to deliver our services.
You are responsible for ensuring that your use of our services complies with all applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any state-specific regulations regarding automated communications.
4. Payments and Billing
All services are billed on a month-to-month basis unless otherwise specified in your service agreement.
- Setup fees are one-time, non-refundable charges due before onboarding begins
- Monthly service fees are billed in advance on the same date each month
- Payment is due upon receipt of invoice and must be made within 5 business days
- Late payments may result in service suspension after a 7-day grace period
- All prices are in USD unless otherwise stated
We reserve the right to adjust pricing with 30 days written notice. Price changes will not affect the current billing cycle.
5. Cancellation and Termination
Either party may terminate the service agreement with 30 days written notice. Upon cancellation:
- Services will continue through the end of the current paid billing period
- Setup fees are non-refundable regardless of cancellation timing
- No refunds will be issued for partial months of service
- We will provide a reasonable transition period to export your data
- Access to your OptyxAI dashboard and systems will be revoked at the end of the notice period
We may terminate your account immediately if you violate these terms, engage in fraudulent activity, or use our services for any unlawful purpose.
6. Intellectual Property
All content, features, and functionality of the OptyxAI website and services — including but not limited to text, graphics, logos, software, and automation workflows — are the property of OptyxAI and are protected by intellectual property laws.
You retain ownership of your business data, customer information, and content you provide to us. By using our services, you grant us a limited license to use this information solely for the purpose of delivering our services.
7. Limitation of Liability
OptyxAI provides its services on an "as is" and "as available" basis. While we strive for maximum uptime and accuracy, we do not guarantee uninterrupted service or that our AI systems will be error-free.
To the maximum extent permitted by law, OptyxAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, business opportunities, or data, arising from your use of our services.
Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by you to OptyxAI during the three (3) months preceding the claim.
8. Indemnification
You agree to indemnify and hold harmless OptyxAI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our services, your violation of these terms, or your violation of any applicable law.
9. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This obligation survives the termination of the service agreement.
10. Dispute Resolution
Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation between the parties. If a resolution cannot be reached within 30 days, the dispute shall be resolved through binding arbitration in accordance with applicable rules.
11. Changes to Terms
We reserve the right to modify these terms at any time. Material changes will be communicated via email or through our website at least 30 days before they take effect. Your continued use of our services after changes become effective constitutes acceptance of the revised terms.
